牛島信氏の小説は本書が始めてだ。花粉症が悪化し、頭の中に鼻水が入ったような状態ではビジネス書を読めない。なんとか読みやすいものをさがしたかった。それにはビジネス小説がよいのではないかと思い書店で平積みされていた本書にであったのだ。

著者は弁護士。小説ではリストラ社員が株主総会で会社をのっとるというとんでもないストーリーであるが、法律的な根拠がしめされ興味深い。こういった小説、とひとくくりで言ってしまっては身もふたもないが、ストーリー重視だと隠されたテーマ、法的な内容がうすくなったりするものだが、本書ではおどろくほどうまくいっている。内容に占める法的説明もたっぷりあってしかも小説として読ませる。これが弁護士である著者の処女作とはちょっとしんじられないくらいだ。

ちょうど今、日本も企業買収について騒がれ始めていますが、この本は1997年に発刊されたもので、その中で企業買収とそれに対する防御策であるゴールデンパラシュートやホワイトナイトなどの用語が書かれていることに少々驚きました。著者自身が弁護士でしかも多くの企業弁護を行ってきただけあり、企業総務に精通されており、そのため、このような事件が、近日中に当社や取引先企業でも起こりえるのではないかなという不安と期待が入混じり非常に面白く読み進むことができます。
株主総会の総会家対策の利益供与事件などではなく、株主総会を利用して従業員が会社を乗っ取るというスケールの大きなストーリーです。

素直に面白かったですね。
法律特に商法を知っている人は、なるほどと思える部分が随所にあり、小説が六法とリンクして興味深く読めるのではないでしょうか。
法律に疎い人でも十分に堪能できます。
新しいジャンルが出来たような、そんな気がしました。
