網羅性が高く、かつ、それなりに高度な内容を平易に記述しているため、上場企業の経営企画、経理、財務部門に所属するスタッフにとって、とても分かりやすい内容となっている。

この、「分かりやすい」ことが「意外と」かつ「非常に」重要で、弁護士の著書には得てして、正確を期すあまり、結局何が書いてあるのか分からない本が以前は多かったが（司法試験時代に読んだ参考書と同じトーンで書くからだろう）、それでは多忙を極める実務家には使えない＝売れない本になってしまう。こうした良書が少なかったことが、日本企業のスタッフ部門の生産性を著しく阻害してきたと言ったら過言だろうか。

以前、購入した「倒産法全書（上・下）」も素晴らしい内容だったことから、おそらく森・濱田松本法律事務所のスタッフが相当、ソフィスティケイトされているものと伺いしれる。

ただし、民事再生・破産時の開示、株式非公開時の機関決定および開示など、「有事」にあたっての一連の手続きについて、簡単にでもよいので触れて欲しかった。今、一番ニーズがある分野だから。第二版に早くも期待したい。
