本書では、来たるべき新時代にも対応しうるように、できるだけやさしく、具体的に現行商法の解釈・運用の姿を示した。特色は、商法は民法を前提とするため、随所で民法との比較を試みた。商法総則・商行為法と会社法・手形法との関連にも留意した。理解を容易にするため、単なる抽象論に陥らないよう具体的に説明した。理論・実際の両面で重要な事項を重点的に説明し、実社会であまり活用されない事柄は簡略にした。商法典に規定されていない現代商取引にも可能な限り言及した。記述は、通説・判例をベースに、重要な論点を紙面の許す限りカバーした。各章の末尾に、実際の出題例を中心に試験問題を掲げ、必要に応じてコメントを付した。第二版では、その後の情報や商法改正の内容を本書に反映させるため随所に説明を追加し、とくに商業帳簿については、会社の計算との関係で重要な改正が見られるので書き直しを行った。

　正直いって、やさしくはない。しかし、法律の本の中ではまだましだといえる。入門書がわりに買うのも良いのでは。ただ、ずうっと単調で、コラム的なものがないから途中で飽きてくるが・・・
