●まったく新しい組織形態|日本版LLPは、企業間での技術開発、産学連携、同じ志を持つ仲間との起業などに適した新しい組織形態。LLP （LimitedLiabilityPartnership）の名のとおり、出資者の有限責任とパートナーシップによる運営が可能など魅力が多く、欧米で はたくさんの活用事例がある。2005年8月1日から、登記申請ができるようになったばかり。|●どんな特徴がある？|日本版LLPは、従来からある民法 組合の特徴に「有限責任性」を加えた特例制度。有限責任性を加えることで、研究開発や新規事業といったリスクの高い事業に積極的に取り組むことが可能に なった。また、組合員の業務分担や権限、損益の分配などについては、組合契約書（会社の定款のようなもの）に自由に定められるので、柔軟な組織運営ができ る（「内部自治の柔軟性」）。特に注目されているのが、LLP自体に課税されずに組合員に直接課税する「構成員課税（パススルー課税）」だ。出資者は、出 資の範囲で責任を負えばよいから、リスクのある事業に取り組みやすくなる（出資者の有限責任性）。このパススルー課税は、会社法の合同会社（日本版 LLC）には認められていないのだ！なお、単に出資だけを行なう組合員は認められていない（共同事業性の要件）。|●素朴な疑問も解決できる|新しい組織 形態ゆえに疑問も多い。どうやって登記をする？法人でないから取引先から信用されないのでは？パススルー（構成員課税）とはどんなもの？従業員を雇ったと きの社会保険・労働保険の適用は？税金の申告・納付はどうなるの？これら、運営上の疑問について丁寧に解説している。||||

ＬＬＰ関連の書籍はかなりの数がでており、私も複数の本を購入して読んだが、本書の記述は具体的で実践的である。具体的な登記申請書の書き方やモデル契約が掲載されているため、実際にＬＬＰを設立申請するのに非常に役立った。

類書のなかにはＬＬＰの利点や利用法といった概念的な記述にとどまっている実践的でないものも多いが、本書には実際の設立から会計、税務処理まで、経営者が本当に知りたいことが書いてあり、（教養としてではなく）ビジネスとしてＬＬＰを活用したい起業家向けの良書である。
