会社法の本ですが、会社の仕組みが良く分かる本です。

法律の解説というより、会社法をネタに、会社のいろいろな仕組みを解説した本です。
特に、「新会社法による、会社の機関」「資金調達、株式」の話題が多かった感じです。

法律が書いてある部分はなく、かみ砕いて説明してあります。

図や絵はほとんどなく、びっしり書いてあって、内容も濃かったです。新書の値段では、お買い得だった気がします。ただ、内容が濃いので、「株式会社の仕組み」を、全然知らなくてよんだら、ちょっと消化不良になるかもです。

基本的な用語から丁寧に説明してありますし、キーワードは太字になってるし、各種試験にも役立つ印象の本です。

書店の棚には去年から多数の新会社法関連書が並ぶが、「基本」、「初めての」、「図解」から本格的な会社法参考書まで色とりどりだ。しかし高いお金を出して、つまらない本や相性の合わない書を買っての「ツン読」ならば、本書を買った方が断然良い。本書は新会社法の全般を把握、概観する意味で優れている。この紙面スペースであるから、何かを削らないととても網羅できないが、必要最低限の事項はうまく捉えており十分評価できるだろう。会社法の内容を全体像から把握し整理したい方に最適である。まずは新任取締役や執行役員になられた方々、特に管理部門ではなく、営業或いは製造、技術部門で会社法オンチの方々、門外漢から急に監査役に指名され慌てておられる方々は、まず本書で会社法の全貌を知り、社内の経営会議や取締役会で恥を欠かないようにすべきではないか。またＩＰＯを目指している企業の幹部社員は是非読んでおくべきであろう。

特徴は以下の4点。
1　原則的な規定(節や款の冒頭にある条文の1項が多い)を中心に解説している。例外や枝葉は大胆に省かれている。
2　重要な制度や趣旨が分かりにくい条文は制度趣旨から説明している。
3　条文番号は見出しごとにまとめて表示されている。
4　本文から章の扉ページ等を除いた実質的な頁数はほぼ180頁である
初めて学ぶ方にとって、特徴1，2，4はプラスかと思いますが、特徴3はマイナスかもしれません。
