企業に勤めるサラリーマンにとって、「総会」というのは得体の知れない大変なことのようであり、専門の人たちがやるべきことなのであって、自分は関わりが無いようにしたい。そんな位置付けなのかもしれない。

そんな私のようなサラリーマンも「総会」に仕事上の絡みが出てくる。そのスケジュールや社内体制の中に巻き込まれる。ああ、いやだなあ、どうしよう。正直なところ、「総会」関連の仕事というのはそういうところがある。

で、私は、そんな状況になってしまって、「ああ、なんだかなあ」とか思っていながら、本書を手にとった。

コンパクトに、総会の位置付けを把握することができ、そして、実際にその運営にあたって留意するべきは実務の失策による「決議取り消し」であり、何をどこまで準備するのがいいのか。そのような全体観、会社法の関連条項などを短時間に把握できる。

そのような意味で、専門の人・・というよりも、専門外であるが図らずも「総会」関連の仕事に関わらなければならなくなってしまった人。がすっとこの仕事に立ち向かうために有用なのではないかと思う。

タイトル通り、｢株主総会の進め方｣についての本です。本番だけでなくリハーサルなどについても細かく書かれているので、トラブルのない株主総会を進める為にも有益です。実際に株主総会の運営の仕事に携わったことのない方や株主総会に参加したことのない方も総会の雰囲気がイメージできて参考になるでしょう。また、株主とは別人と思われる人間の入場を制限できるか、弁護士は株主の代理人として出席できるか、などの疑問に対する回答も分かりやすく根拠を説明していますので、株主総会や会社法を勉強している方には一読をオススメしたい一冊です。
