もし、あなたが会社の昼休みに携帯電話で買い物をして家に帰ったらポストに先ほど注文していた商品が届いていたら？感動しないだろうか。この本はその種の感動を与えてくれる。つまり、「今欲しかったんだよ〜。ありがとー。」という感じである。

M&A、企業価値、IR、MBO、コーポレートガバナンス、敵対的買収、三角合併…表紙に踊る文字。このうち２つ以上に興味を持っていて、「実際、曖昧な理解しかしていないなぁ」と思っていたら…。もう、すぐに買うべきである。Amazon.co.jpのアカウントを持っているなら「1-Clickで今すぐ買う」べきである（送料無料の価格条件を満たしている）。

簡単な解説とともに新聞紙上に躍るその派手な活字の裏で実際何が起こっているのかが以前よりずっと理解できるようになるだろう。買収後の1株あたり利益（EPS）のシュミレーションやファイザーが自社の時価総額の3割しかない武田薬品工業をなぜ買収しないのかということが理解できるようになる。

久しぶりに感動した本に出会った。是非、多くの人（たぶん想定している読者は経済に興味を持っている初中級者）に読んでもらいたいと率直に思った。

多くの本がでており、超軽めの本も多い中、
本書では新聞などでは分からない、M&Aなどの
当事者の事情がよく分かるように記載されてる。
とは言っても学術書のように読み解くに難解と
いう訳でもない。

自分としては、特に仕事でMBOについて検討する
必要があり、本書の該当箇所のメリット・デメ
リット、経営陣と株主の利益相反の部分は参考
になった。

専門外の方にはお勧めです。

M&Aの事を説明した本は沢山出ていますが、多くは学術的で何をいっているか自分のような素人解からなかったり、初心者向けの本は中身がうすかったりで、なかなか適当な解説本がありませんでしたが、この本は、今まで判らなかったことが良く理解できる内容でした。特に、MBO、LBOなど買収のスキームについてわかりやすい解説があり、「ここが知りたかった」と、思う場面が何度かありました。

自分は、技術屋なのでちょうどよかったのですが、分野が専門の方には物足りないとは思います。
