第４版では、第３版から、以下のような変更点があります。

○一般社団・財団法の制定・施行にともない、法人部分が修正されています。これまであまりなかった会社法との比較もなされており、法人法入門としての位置づけが明確になっています（ところどころに、江頭（第１版）、神田（９版）が脚注で引用されています。）。また、組合と社団の峻別論に対して、これまでも批判的でしたが、民法典から社団という概念が消えたこと、組合的な合名会社の存在（会社法制定前からありましたが）等から、峻別論は理由を失ったとします。

○背信的悪意者論のところでは、最判平成１０年（第３版でもコラムで掲載）、１８年判決を掲載し、背信的悪意概念の柔軟化について、説明が増えています。これは、内田先生の問題意識と合致するためとも思われます（もともと悪意者排除論）。

○その他、権利外観法理について、最判平成１８年２月２３日を引用し、９４条２項類推が、一般的な権利外観法理に近い機能を果たしてきたのではないか、という説明を加えています。これも、内田先生の問題意識を補強するものとして、強調されているのではないかと思います。

○７０頁の錯誤の説明で、「シンボリルドルフ」だった馬の名が、「ディープインパクト」になっているというのは、遊び心でしょうか。。

賛否はありますが、内田先生の本は、判例をケースとして説明し、時には従来の議論を簡単に済ませて、他の基本書にない軽快さと面白さがあるとは思います。

新司法試験受験生としての立場からコメントさせて頂きます。

《特徴》
・初学者を意識して、分かり易い記述になっている。
・事例が豊富で、イメージが湧きやすい。
・分かり易さを保ちながらも、これまでの新司法試験に出たような論点はしっかりと網羅されている。
・改正された法人の規定に関する部分は必読(と実務家教員が言ってました)。

《注意点》
・通説、判例とは異なる自説が多いが、これだけ読んでいると、それに気付きにくい。
・これを読んだからといって論文が書けるようになるわけではない。

あまりにも有名な本ですね。
賛否両論ありますが、分かり易い内田民法シリーズは、個人的には一番好きな基本書です。
ただ、国家試験受験生は、論文問題集などで、通説・判例の論証を押さえることが必要になってくるかもしれません。

　我妻民法総則，物権法は戦後しばらくの間，一時代を築く民法総則，物権法の教科書であった。民法総則についてはその後，四宮総則が司法試験受験生ばかりでなく多くの民法初学者の必読書であった。今は，内田民法が我妻民法に取って代わる存在となっている。そして，しばらく揺るがないであろうことは法曹界のだれもが認めるところである。ついに第４版登場。
