２００８年３月２８日「会社法であそぼ」のブログで、葉玉先生が「会社法の入門書として最高のおすすめ本」と述べておられます。
ただ、これを入門書とするのは、ちょっとおすすめできません。
私は、勉強を始めたばかりの人の勉強は、定義を覚え、条文の趣旨を理解することであると思っています。
本書では条文の趣旨に関する記載が少ないため、これから会社法を勉強しようと思っている人がこれを見ても、制度や条文の「暗記」しかできないように思います。

しかし、表が多く、資料としてはまとまっているので、ある程度勉強が進んだ方が使う「まとめの資料」という位置づけであれば、持っていても損はないのではないでしょうか。

うんちくばかりで、間違ったことを書いている本も多い中、これは会社法設立に携わった先生が書いていらっしゃるので、安心して読めましたし、何よりわかりやすいです。会社法をしっかり勉強したい方には是非お勧めしたい一冊です。またこれから勉強される方にもわかり易いと思います。

127頁の表の、会計参与の特別な任期満了事由。
332-4は準用しないとの見解は衝撃的でした。
